Version 1, for Phase Console 6.0.0 and later.

This agreement is between you and the Licensor. It covers Phase Console Pro: the prebuilt phase-console-pro package, the files and documentation that come with it, and the updates the Licensor makes available for it (together, the "Software"). By installing, activating or using the Software you accept this agreement. If you do not accept it, do not install, activate or use the Software.

A copy of the Software's source obtained under the Phase Console Source-Access License is governed by that license (LICENSE-SOURCE-ACCESS.md), not by this agreement.

1. Definitions

"Licensor" means the publisher of Phase Console identified at https://phase-console-site.vercel.app/legal/eula, as identified there when you buy your License.

"You" means the person or organisation that bought the License. If you accept this agreement for an organisation, you confirm that you may bind it, and "you" means that organisation.

"License" means the right to use the Software that you buy from the Licensor, identified by a license key and recorded in a license file the Licensor signs.

"Machine" means one computer, physical or virtual, as identified by the fingerprint the Software computes from its platform identifier and host name.

"updatesUntil" means the date recorded under that name in your license file: the end of your paid term, as extended by any renewal.

2. Grant

Subject to this agreement and to payment of the fees, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software, for your own purposes including commercial work, on no more than 3 Machines at a time. You may deactivate a Machine and activate another in its place.

3. Term, updates and perpetual fallback

The License's paid term is 365 days from the date of purchase, and a renewal extends it. During the term you may install and use every version of the Software the Licensor releases. When the term ends without renewal, you keep, for as long as this agreement remains in force, the right to use every version of the Software released on or before your updatesUntil date (the perpetual fallback). A version released after that date needs a renewed License.

4. License checks

The Software checks the License with the Licensor's license server when you activate it and at least once every 7 days while it runs. If a check falls due and the Software cannot reach the license server, the Software keeps its Pro features for a grace period of 30 days; if no check succeeds by the end of the grace period, the Pro features stop until one does. A License revoked under section 7 stops at the next check. The Software's free features keep working in every case.

Activation sends the license key, the Machine's fingerprint (a one-way hash), its host name and platform, and the version of the Software; a check sends the license identifier and the fingerprint. Neither sends anything from your repositories, plans or sessions.

5. Restrictions

You may not, and may not let anyone else:

  1. (a)redistribute, sell, rent, lease, lend or share the Software, your license key or your license file, or make the Software available to others as a hosted service;
  2. (b)transfer the License, or sublicense any right this agreement gives you;
  3. (c)remove, disable, bypass or circumvent the license check, the activation limit or any other technical limit of the Software, or use a license file the Licensor did not issue for your Machine;
  4. (d)remove or alter a copyright or licensing notice in the Software; or
  5. (e)reverse engineer, decompile or disassemble the Software, except to the extent the law that applies to you permits it despite this restriction.

The plans, handoffs, code and other work you make with the Software are yours. This agreement claims no right in them.

6. Other licenses

The Software contains components licensed by others under open-source licenses, listed in THIRD_PARTY_NOTICES.md where the package includes it. Those licenses govern those components, and nothing in this agreement limits the rights they give you.

Many of the Software's files are also published, with the Pro parts removed, as the free edition of Phase Console under the MIT License; NOTICE.md carries that notice. Copies of Phase Console 5.1.0 and earlier were released under the MIT License and remain under it for whoever holds them.

7. Termination

This agreement lasts until it is terminated. The Licensor may terminate it and revoke the License by notice to you if a payment for the License is charged back, disputed or refunded, or if you breach this agreement. You may terminate it at any time by deactivating every Machine and deleting the Software. When it ends, your right to use the Software ends, the perpetual fallback included, and you must delete every copy you hold. Sections 5, 8, 9 and 10 survive termination.

8. No warranty

The Software is provided "AS IS", without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows. The Software runs other programs, among them Claude Code, git and your shell, against your repositories and accounts: you are responsible for reviewing what it does and for keeping backups.

9. Limitation of liability

To the fullest extent the law allows, the Licensor is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or business, arising out of or related to the Software or this agreement, even if told they were possible. The Licensor's total liability arising out of or related to the Software or this agreement is limited to the amount you paid for the License in the twelve months before the event that gave rise to it. Nothing in this agreement limits a liability that the law does not allow to be limited, or takes away a right that consumer law gives you and does not allow to be waived.

10. Governing law

This agreement is governed by the law stated for the Licensor at https://phase-console-site.vercel.app/legal/eula, without regard to its conflict-of-laws rules, and the courts named there have jurisdiction over any dispute about it.

11. General

The Licensor may publish a new version of this agreement for later versions of the Software; a version you have already installed stays under the agreement it came with. This agreement is the entire agreement between you and the Licensor about the Software. If a provision is held unenforceable, the rest stays in force. Not enforcing a provision is not a waiver of it. The Licensor reserves every right this agreement does not expressly grant.
